A 12-part lecture series called "From Start-Up to IPO"
will be offered this fall at the Emerging Technology Center
at Johns Hopkins at Eastern.
Geared to principals of new and future companies,
those in a senior management position or strategic
employees with stock options, the program is sponsored by
the state Department of Business and Economic Development,
Technology Development Corp., Emerging Technology Centers,
Maryland Incubator Association, Johns Hopkins' Enterprise
Development Organization and George Washington University's
Cyber Security Policy and Research Institute.
The series will address the practical and legal issues
that participants will deal with every day in creating a
successful hi-tech or biotech company. Lectures and
readings will enable attendees to identify the major issues
in organizing a business venture around intellectual
property, including employment agreements, stock options,
angel and venture capital, IPOs and tech transfer from
university/government labs.
Instructors are Tony Stanco, of the Cyber Security
Policy and Research Institute at George Washington
University and former senior attorney at the Securities and
Exchange Commission, and Ray Dizon, of Maryland's
Department of Business and Economic Development. Leading
angels, venture capitalists, entrepreneurs, lawyers,
consultants and government officials will be invited to
speak throughout the series.
Lectures will be held from 6:30 to 9:30 p.m. on
Tuesdays on the third floor of JH@Eastern. The topics are
as follows:
Sept. 7: Overview and Google IPO case study. Sept. 14:
patents. Sept. 21: copyright and trademarks. Sept. 28:
trade secrets and licensing agreements. Oct. 5 and 12:
founders and employment agreements, stock options,
nondisclosure agreements and noncompetes. Oct. 19:
partnerships, corporations and LLCs; shareholder
agreements; directors and executives. Oct. 26: angels and
venture capital. Nov. 9: negotiating angel/venture capital,
terms sheets and stock purchase agreements. Nov. 16: the
IPO process. Nov. 23: federal and state securities law.
Nov. 30: government programs for start-ups, SBIRs, GSA
